Please read these terms and conditions (“Terms and Conditions of Sales”) carefully before ordering any products from our Website. You should understand that by ordering any of our Products, You agree to be bound by these Terms and Conditions of Sales.

By placing your order, You accept these Terms and Conditions of Sales. Please understand that if You refuse to accept these Terms and Conditions of Sales, You will not be able to order any Products from our Website. Once You will accept the following Terms and Conditions of Sales, You will be defined hereinafter also as “Clients” or “Client” or “You”.

1.1 This Website is dedicated to wholesale sales, therefore only professionals can buy from this Website (this includes, without limitation, beauty and fashion retailers, pharmacists, home and office furniture retailers). The access to the Website is reserved only to authorized persons who have received the access password by AAA/UNBRANDED Ltd. Sales Office. From the moment a person receives the access code, she/he becomes a full-fledged Client.

1.2 We reserves the right to revise the Terms and Conditions of Sales at any time. The date of the latest update is found in the final section of The Terms and Conditions of Sale. Users are responsible for keeping themselves updated with such changes. Please note that The Terms and Conditions of Sale valid for your order is always The Terms and Conditions of Sale that is in effect as of the time that You place your order and not a later version. You should keep a copy of these Terms and Conditions of Sale for future reference.

The products offered on the Website are sold by STUPYDOO S.r.l.s., Company with operational office at 18 Via Della Paglia, 35122 Padua (Italy), Vat No. IT05456490282 subject to direction and coordination of AAA/UNBRANDED Ltd.. STUPYDOO S.r.l.s. acts as trader and will sell the product directly to You (“STUPYDOO” or “us”).

3.PRODUCTS AND MARK-UPS

3.1 The Products on the Website are skincare for women and men, eau de parfum, eau de toilette, extrait de parfum for the person, home fragrances, candles, beauty accessories. The Products on the site are sold in packs. The number of units in the packs is indicated on the product sheet, represented with graphic icons and indicated in writing in the “Mark-up” section of each product sheet. Each product package also contains a tester to be used to let the consumer try the product. The quantity of testers is indicated in the product sheet and in the “Mark-up” section and can be different for each product. For some products, as indicated in the relative sheets, there are no tester. The tester products are marked with the words “SAMPLES NOT FOR SALE” and cannot be sold by the Customer. In case of sale of this test product, the Customer assumes all responsibility towards the consumer.

3.2 AAA/UNBRANDED Ltd. reserves the right to increase, reduce, modify the number and type of products in the catalogue at any time.

3.3 The mark-up of the products varies according to the quantity and is clearly indicated in the sheet as well as with the recommended retail price (RRP).

4.PLACING ORDERS

4.1 By using the Website and/or placing an order on the Website You confirm that You have read The Terms and Conditions of Sale and the Privacy Policy, and that You accept them. Please make sure that You have read and understood The Terms and Conditions of Sale before You place an order.

4.2 You can purchase Products in two ways:

1. Direct purchase from the cart with a fixed discount of 3% calculated on the total order. You can pay using credit card or other payment methods indicated in the check-out page;
2. By requesting a quotation which is forwarded to aaa/unbranded on which is calculated a variable discount in according to the type and quantity of products requested. In this case You can made the payment at a later time, after the confirmation of the quotation. In this particular case You can pay by bank transfer or credit card or other methods as indicated in the check-out page;

Before You place your order, You will be given the opportunity to review your selections, the information You have provided, the total price of your order and correct any input errors. Please note that products in your shopping cart are not reserved and may be purchased by other Clients until You have placed the order at checkout and received the order confirmation email. If prolonged inactivity causes your connection to the Website to fail, your selection of products may be lost. In such case, You will be required to re-enter your selection of products to the shopping cart.

After submitting your order, we will send You an order confirmation email with your order number, details of the product(s) You have ordered from us, your payment details and delivery details, that You have to confirm.

Please note that STUPYDOO does not guarantee that all products presented on the Website are in stock or are available for purchase. STUPYDOO reserves its right to stop selling a product at any time.

5.ACCEPTANCE AND SHIPPING CONFIRMATION

5.1 Please note that all orders placed by You are subject to acceptance by us. We may, at our discretion, choose not to accept your order for any reason whatsoever without any liability to You.

Once the order has been processed, a shipping confirmation email will be sent with all relevant information about your order. The shipping confirmation is our acceptance of your order. Please note that STUPYDOO does not guarantee that all products presented on the Website are in stock at the time of your order. If a product is unavailable, we will contact You shortly, by email. If we already have received payment for such a product we will refund You the amount of the purchase.

5.2 In case You pay by bank transfer, the order will be prepared and shipped only after the payment has been credited.

6.PRICES

6.1 The price and essential characteristics of each Product (along with the relevant Product codes) are displayed on our site. The information displayed on our site does not represent an offer by STUPYDOO.

6.2 The prices and delivery costs shown on the Website include VAT. The prices and delivery costs shown on the Website may vary from time to time and STUPYDOO is not bound by the price until STUPYDOO has accepted the order by sending the shipping confirmation to You. If You have placed an order and the price has changed before we have accepted your order (by sending You the shipping confirmation), we will notify You by email about the price change and give You the option to place a new order with the new price or cancel the old order. If we are unable to contact You, your order will be cancelled. STUPYDOO always reserves the right to cancel any order prior to our acceptance of the order. If we already have received payment for a cancelled order, we will refund You the entire amount of the purchase.

6.3 If shipping costs are provided, these are indicated, in relation to the shipping methods, at the moment of payment in the check-out page. You can check on the “Shipping Countries” page in the Website which countries we ship to and other country-by-country information using this link. For deliveries to countries outside the European Union Customs expenses will be charged to consignees and added to shipping ones.

6.4 Except as otherwise provided on the point 6.3 shipment is always made at the buyer’s risk and cost with the means we consider the most appropriate, if no particular instructions have been provided by Client.

7.PAYMENTS

7.1 Payments on this Website are processed by STUPYDOO through the Stripe payment platform.
The purchase will only be processed when Stripe has informed us that the payment was successful. You confirm that the credit/debit card used is yours or that You have been specifically authorized by the credit card holder to use it. All credit card holders are subject to validation and authorization checks by the card issuer. If the payment card issuer refuses to authorize payment to STUPYDOO, your order will be rejected and canceled. We are not responsible for any charges or penalties that may be imposed by the payment service provider as a result of processing the payment in connection with your order.

We also offers the possibility to pay via your PayPal account. PayPal stores and protects your credit card and bank details, allowing You to make online payments without having to reveal your financial details every time You make an online purchase.

7.2 In the case of payments by bank transfer, You will find the information to make the payment in the order confirmation email. In this case the bank charges are at your expense. For payments by bank transfer, You will be required to send a copy of the payment slip. In any case STUPYDOO will wait for payment confirmation before fulfilling the order. You will have all the information in the order confirmation email.

8.SHIPPING & DELIVERY

8.1 We offers shipping within EU, Schengen and United Kingdom. For delivery to other countries, please contact sales@aaaunbranded.com. We aim to dispatch all orders usually within 3-7 working days, dependent on stock availability. In any case You will be advised of the delivery times when we will confirm your order.

Once the entire order has been prepared, You will receive a shipping confirmation.
Please note that delivery estimates in checkout are only estimates and actual delivery times may vary depending on the shipping locations. STUPYDOO will not be liable for any loss or damage suffered by any reasonable or unavoidable delay in delivery. Please also note that the delivery estimates timing do not take into account any delays caused by customs blockages or problems, shippers’ strikes, natural events, demonstrations. If STUPYDOO fails to deliver within the date communicated to You by mail, You may have the right to cancel the purchase.

Please note that there may be limitations or additional costs for perfume shipments to some countries. If You want to be sure You’ve not surprises at the checkout, You can previous write to us before placing your order at: sales@aaaunbranded.com. We will give You all the assistance and information for your purchase.

Please note that the postal services and especially express courier, are busier than usual during Holiday seasons and in Summer, and that this may affect the shipping time.

9.RETURNS & EXCHANGES

9.1 If You were to be unsatisfied with your purchase at aaa/unbranded’s Website, You are entitled to withdraw your purchase or exchange your product by sending a notice to us at sales@aaaunbranded.com within 15 days of You receiving your order. In the case of a product being broken during transportation, please send a photo for proof to us at sales@aaaunbranded.com.

Returned product(s) should be in unused condition accompanied by the original invoice no later than 15 days after sending your notice. Returns will only be accepted if labels and original primary and secondary packaging of products are fully intact and in a resellable condition. STUPYDOO will not accept returns where labels have been removed or products have been opened or used.

9.2 Refunds for returned goods will be made within 15 days of returning the product via the Stripe payment platform or via bank account. Please note that additional duties and/or taxes and in case the shipping costs will not be refunded. Refunds for faulty items will be made within a 30 day period following delivery.

Faulty products can only be refunded if the products’ functionality or value has not diminished due to your handling of the products to a greater extent than is necessary in order to ascertain its characteristics or function. According to the Consumer Act (1990: 932) You are entitled to complain about defective products within three years. However, You must always inform STUPYDOO within a reasonable time after discovering that the products are defective. If STUPYDOO considers the products to be defective, STUPYDOO will issue a full refund. Otherwise, if STUPYDOO deems the products undamaged or damaged by You or used or opened or partially used, we won’t be able to refund or replace the products.

9.3 Discounted products are not returnable or refund except in the case of products damaged during transport or that do not present the conditions of safety of use (open or damaged primary packaging cap, breakage of the primary container, loss of product from the primary container, oxidation of the contents). “Discounted products” means a discount applied to the product on catalog and visible as a tag in the product sheet. The 3% discount for immediate payment by credit card and the discounts applied to the request for a personalized quote are excluded.

10.RETURN PROCESS

10.1 Please follow the below steps when returning:

1. Send a notice to sales@aaaunbranded.com and include (i) your order number, (ii) reason for return request and (iii) detailed pictures of the product. Please also include (iv) your name, (v) email address and (vi) phone number in order for us to be able to contact You if necessary.

Otherwise, You can download the Return Form, fill it in and send it by mail to sales@aaaunbranded.com

2. If the return is accepted, You will then receive a confirmation from us and we will send a prepaid return label. Please note that if You would like to return your product in another way, the shipping costs will be at your expense, as will You be responsible for the goods shipped, which will be charged to You in the event of damage in the return shipment.

3. Place the product(s) in the original shipping box, or another solid well-padded carton box. Close the box and tape it securely. At this point we will send our courier to collect the goods.

If You choose to return your product in another way than recommended by us, please send it with an authorized and secure forwarding agent/transport company.

We remind You that perfumes are considered dangerous goods, so You need to know the shipping procedures well. Therefore the return of the perfumes will take place only with our express courier. We will give You information about this special return by email.

4. For returns with EU, Schengen and other countries worldwide excluded United Kingdom, please address the shipment to:

10.2  We will send You an email confirmation once the return has been processed and the refund has been made.

Please note that we will not be refunded products that will suffered irreparable damage by the return shipment, or that they will have suffered greater damage, in relation to what was demonstrated by the consumer in the photo sent for the return.

You will find these images in an reserved area. Use this link to see images. In any case, You can share photos, videos, reals present in our Instagram feed or from Pinterest by inserting the tag to our profile. Any inappropriate use of our images or logo will be legally prosecuted and will result in the immediate closure of your account.

11.3 You may download, print and store copies of this material only for commercial use, provided this copyright permission notice is included in all such copies. 12.1 Please note that your use of this Website does not grant You any rights to use aaa/unbranded® trademarks or products names.

The violation in the use of our brand or the improper use of the same, are legally punishable. AAA/UNBRANDED Ltd. will then have the right to ask You for material and immaterial damages resulting from the improper use of our brand and your account will be closed immediately.

13.SERVICES

13.1 AAA/UNBRANDED Ltd. through STUPYDOO provides the Client with a Dropshipping service (“DPS Service”). The Client has the possibility of selling products of the aaa/unbranded brand also through the Website and therefore expand their possibilities of sale and sales territory. The Customer can decide whether to have the products buyed for sale on the Website and, in the case of sale from the Website, to ship them to the final customer. The sale of an item given in dropshipping is communicated to the Customer with an email in real time. The email indicates the item code, the price, sales information and the address of destination of the goods. In order to accept the sale, the Client must reply affirmatively to the DPS’s email and then arrange for the shipment of the product to the address indicated. Otherwise the sale will be carried out by the Company.

13.2 The DPS service is governed by an agreement between the Client and the Company and does not imply a limit on the purchase quantities. The conditions of the DPS service are at this link.

14.INFORMATION ON THE WEBSITE

14.1 AAA/UNBRANDED Ltd. cannot promise that the content of the Website is free of inaccuracies or typographical errors. Neither can we guarantee that all information is up-to-date. AAA/UNBRANDED Ltd. may, at any time, amend the content of the Website. In no case whatsoever will STUPYDOO assume any liability for indirect damages such as loss of profit or in case of force majeure such as war, civil war, revolution, riot, governmental measures, strike, lockout, blockage, failure of electricity, telephone or internet service, natural disasters or similar events. STUPYDOO’s liabilities to You will never exceed your total purchase amount for each order. In case of force majeure, STUPYDOO’s obligations will be suspended. The contract between You and STUPYDOO can, in such cases, be partially or fully terminated by yourself or by STUPYDOO.
